Terms of Service
Effective date: June 10, 2026
These Terms of Service (the “Terms”) govern your access to and use of the WoneShield platform, websites and related services (the “Service”). Where you have signed a separate master agreement or order form with WoneShield, that agreement governs and supersedes these Terms to the extent of any conflict.
1. Acceptance
By accessing or using the Service, you agree to these Terms on behalf of yourself and the organization you represent. If you do not agree, do not use the Service.
2. The Service
WoneShield provides a security and resilience platform. We may update, improve or modify features over time. We will not materially reduce the core functionality of a paid subscription during its term without notice.
3. Accounts & security
You are responsible for the accuracy of account information, for maintaining the confidentiality of credentials, for enabling available security controls (such as multi-factor authentication), and for all activity under your accounts. Notify us promptly of any unauthorized use.
4. Acceptable use
You agree not to misuse the Service, including by: violating any law or third-party right; attempting to gain unauthorized access; interfering with the integrity or performance of the Service; reselling or providing the Service to third parties except as expressly permitted; or using the Service to build a competing product.
5. Customer data & ownership
As between the parties, you retain all rights to the data you submit to the Service (“Customer Data”). You grant WoneShield the limited rights necessary to provide and secure the Service. Our processing of personal information within Customer Data is governed by our Data Processing Addendum and Privacy Policy.
6. Fees
Paid subscriptions are billed as set out in the applicable order form. Unless stated otherwise, fees are non-refundable and exclusive of taxes. Free trials and assessments are provided as-is and may be modified or discontinued.
7. Intellectual property
WoneShield and its licensors own all rights in the Service, software, and documentation, excluding Customer Data. No rights are granted except as expressly set out in these Terms.
8. Confidentiality
Each party will protect the other’s confidential information with at least reasonable care and use it only to perform under these Terms, except where disclosure is required by law.
9. Warranties & disclaimers
We will provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided “as is” without warranties of any kind, to the maximum extent permitted by law. No security product can guarantee the prevention of all incidents.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, and each party’s aggregate liability arising out of the Service is limited to the amounts paid for the Service in the twelve months preceding the claim. Nothing limits liability that cannot be limited by law.
11. Indemnification
Each party will defend and indemnify the other against third-party claims to the extent arising from its breach of these Terms or violation of law, subject to prompt notice and reasonable cooperation.
12. Term, suspension & termination
These Terms apply while you use the Service. We may suspend access to protect the Service or other customers, or where required by law. Either party may terminate for material, uncured breach. On termination, your right to use the Service ends and Customer Data is handled per the DPA.
13. Governing law
Unless your order form states otherwise, these Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable there, without regard to conflict-of-laws rules.
14. Changes
We may update these Terms. Material changes will be posted here with an updated effective date and, for active subscriptions, communicated as required by the applicable agreement.
